General Terms and Conditions

Your access to the Platform and use of its Services in any manner constitute your express acknowledgment and unconditional acceptance ("you", "client", "student", "user") to be fully bound by these Terms of Service, to the exclusion of any other terms or conditions that may otherwise apply.

If you do not fully and unconditionally agree to these Terms, you are not entitled to access or use the Services. If the terms of this Agreement are deemed to be an offer, acceptance is expressly limited to these Terms.

The Platform provided by Nir aims to offer an integrated educational environment that enables users seeking tutoring services ("Students") to find qualified teachers approved by Nir ("Teachers"), to request tutoring services from them, and to communicate with them effectively.

The Platform serves as a bridge that connects students who need academic support in a particular learning track or subject with qualified teachers who are formally appointed by Nir.

3.1. For Teachers:

To be eligible to provide services via the Platform, Teachers must meet the following basic requirements:

• Be at least eighteen (18) years of age
• Have substantial experience or academic distinction in the subject or field they wish to teach
• Be a university student in the second year or higher, or hold a recognized academic degree

3.2. For Students:

• Have the legal right and capacity to enter into this Agreement
• If the student is a minor, use of the Services must be under the supervision of a parent or legal guardian

You undertake and agree to use the Platform and/or the Services only for an educational purpose consistent with the academic integrity policy of your school or university.

By using the Platform or the Services, you agree that you will never, in any manner, do any of the following:

• Use the Platform in any unlawful or abusive manner
• Provide false or misleading information
• Use another user's Nir account
• Circumvent any measures implemented by Nir

Nir reserves the absolute right to suspend and/or terminate your access to all or part of the Platform, remove your profile from the Platform, and/or terminate your registration with Nir, with or without prior notice, at any time and at its sole discretion.

Nir is committed to protecting the privacy of its users. Nir may use the information you provide on the Platform or through the Services only in accordance with its Privacy Policy.

6.1. Information Collected:

Nir collects personally identifiable information when you use the Platform or the Services. Such personally identifiable information may be used for the following purposes:

• To communicate effectively with you regarding your account or the Services
• To process your requests and ensure the accuracy and currency of our relationship with you
• To verify your identity and grant you secure access to your account

Users may find advertisements or hyperlinks to external websites or third-party services on the Platform.

You acknowledge and agree to the following:

• Nir does not endorse, recommend, or guarantee the content of any external sites
• Your access to those external sites is at your sole responsibility
• Nir is not responsible for the content of those external sites

8.1. Payments from Students to Nir – Cancellation Policy:

All payments agreed upon between Students and Nir are made exclusively via Nir’s secure online payment platform.

Cancellation of Sessions or Subscriptions:

• A cancellation notice must be sent at least two (2) hours before the session starts
• If the entire subscription is canceled, a 5% administrative fee will be deducted
• If the student does not attend the lesson, they are not entitled to compensation for the session

Nir assumes responsibility for resolving disputes that arise directly from the quality of Teachers’ performance or their commitment to providing the educational services agreed upon through the Platform.

Your use of the Platform and the Services is at your sole and entire responsibility.

All information, content, services, and materials contained on this Platform are provided "as is", "as available", and "with all faults".

The Platform and the Services provide a comprehensive meeting environment for students who wish to obtain educational services from a Teacher, with Nir supervising and being responsible for the quality of Teachers and the educational services provided through the Platform.

You agree and understand that you bear full responsibility when using the Platform and the Services, including, without limitation, all risks associated with any online or offline dealings with other users.

By agreeing to these Terms, users agree to indemnify, defend, and hold harmless Nir, as well as all of its stakeholders, officers, and agents.

14.1. Rights in Images and Sounds:

All images, graphics, logos, sounds, videos, and other audiovisual media elements used in the Nir application and its associated website (the "Platform") are either the exclusive property of Nir or are used under appropriate license agreements.

14.2. Materials Used by Teachers:

Teachers who use the Platform to conduct educational sessions retain full intellectual property rights in the original content they create and use specifically during those sessions.

These Terms and any dispute arising between you and Nir are governed by the laws and regulations of the Kingdom of Saudi Arabia, without giving effect to conflict-of-laws principles.

By using the Platform or the Services, you agree and accept that all disputes arising out of or relating to these Terms shall be submitted for final settlement under the Rules of Arbitration of the International Chamber of Commerce (the "Rules").
